Saroj is a Partner in the Corporate &Commercial Practice of Rajah & Tann (Thailand) Limited. Saroj is a licensed Thai lawyer.
EXPERIENCE
Prior to joining Rajah & Tann (Thailand) Limited, Saroj was a legal counsel (AVP) at a leading Thai consumer finance business, and before that he was in private practice at a local Thai law firm.
Saroj has several years’ experience in advising on corporate, commercial and consumer finance matters (including personal loans, credit cards and insurance) and agreements relating to the consumer finance business.
Saroj also has represented several clients in civil and criminal litigation, both during his in-house tenure and in private practice.
Saroj graduated with a Bachelor of Laws from Thammasat University in 1999.
- Advising the biggest Chinese e-commerce company on the regulatory framework for operating Over-the-Top TV including the relevant requirements on contents, copyrights, payment methods and licences.
- Advising a US company on the regulatory framework for providing an internet service via unmanned aircraft.
- Advising multinational companies on the handling and use of its customer data, marketing strategies and reviewing the relevant agreements for the receiving of data service.
- Advising a US IT business provider company on the shareholder structure, licensing requirement and employment issues for engaging in an IT business in Thailand and localising the IT service agreement to be in compliance with Thai law and Thai practice.
- Representing an online marketing business in localising the Website Terms and Conditions and Store Operation Agreement for merchant and customer.
- Advising and reviewing the IT Service Agreement for an online air ticket booking system services provider, including the legal requirement to maintain the computer traffic data under Thai law.
- Representing an online content and gaming provider in establishing its Thai operations.
- Representing a PRC online gaming company in structuring its investment in Thailand.
- Advising a major foreign e-commerce business in establishing its Thai operations.
- Advising a multinational travel business on establishing of business in Thailand and the obtaining of Board of Investment Promotion.
- Advising several foreign investors on entering into joint venture arrangement with local business entity for operating several types of business.
- Acting as a legal counsel for a group of companies (consisting of ten companies) representing the largest consumer finance business (including credit card and personal loans) in Thailand.
- Representing a credit card company to launch a co-branded credit card product with one of the largest life insurance companies in Thailand.
- Advising on structuring and planning marketing arrangements of a top tier personal loan business company in Thailand for compliance with Thai law.
- Advising two leading life and general insurance broker companies (with 120 outlets located in the branches of a leading hypermarket retailer) on Thai law and regulatory matters involving insurance business.
- Advising on the wide range of Thai employment law issues / disputes to several multinational companies.
- Conducting legal due diligence relating to mergers and acquisitions.
- Advising a Japanese e-commerce company in relation to the handling and using of its customer data under Thai law, including the revision of the terms and conditions of its website.
- Advising a Japanese company on the establishment of a company to provide a variety of telecommunications and internet service businesses in Thailand.
- Advising on corporate and organisational structures for a group of hotels and restaurants with 20 outlets in Bangkok, Pattaya, Ayudhya and Phuket.
- Liaising with various Thai administrative agencies, including the Ministry of Commerce, the Land Department, the Immigration Bureau, the Labour Department and the Revenue Department.
- Advising and representing clients in family law and succession matters (and subsequent litigation).
- Advised on corporate and joint venture structures for clients relating to marine shipping business.
- Advising on a dispute arising from a ship collision in Thailand which led to concurrent court proceedings in Singapore and Thailand. The dispute involved issues of jurisdiction, pilotage, towage, and limitation of liability.
- Advising on charter of vessel agreements, ship arrest in Thailand, and requirements to obtain a shipping license.
- Advising several Thai shipowners on sale and purchase of vessels within and without Thailand.
- Advising several oil manufacturers and leading construction manufacturers on a dispute incurred from an off-spec cargo including relevant Thai custom laws.
- Advising the shareholder in the hotel business for the dispute between the shareholder under Joint Venture Agreement.
- Representing a developer in acquiring land in Samutsongkram Province from the leading oil manufacture company in Thailand.
- Representing several Thai businesses (e.g., construction companies and hotels) in civil and criminal proceedings in a Thai court.
- Advising a Japanese e-commerce company in relation to the handling and using of its customer data under Thai law, including the revision of the terms and conditions of its website.
