EXPERIENCE

Nattarat has more than 27 years of experience specialising in foreign direct investment and general corporate commercial matters for foreign companies in Thailand and businesses wishing to invest in Thailand.

His experience includes representing clients in the automotive, hospitality and financial services sector, as well as industrial manufacturing, chemical, electronic, food and beverage, agriculture products and construction businesses.

Nattarat also has substantial experience in contacting and liaising with government authorities and working with litigation lawyers in civil and commercial matters.

Nattarat graduated with a Bachelor of Laws from Thammasat University in 1995 and Master of Laws from Washington College of Law, American University, in 2001.

  • Advising on structuring and negotiating international transactions as well as obtaining Board of Investment promotion and foreign business licenses for foreign companies doing business in Thailand.
  • Preparing, negotiating and implementing numerous projects in the region, including property acquisitions, joint ventures, mergers and acquisitions.
  • Establishing branch offices, representative offices and regional operating headquarters in Thailand.
  • Liaising with various Thai administrative agencies, including the Ministry of Commerce, the Land Department, the Board of Investment, the Immigration Bureau, the Labour Department, One Stop Service, the Revenue Department, the Industrial Estate Authority, and the Customs Department.
  • Advising on the restrictions on foreign business participation in Thailand, employment and tax matters, work permit and visa issues, all with specific reference to foreign direct investment into Thailand.
  • Advising on corporate and joint venture structures for clients in various manufacturing businesses (e.g., manufacturers of automotive parts and tyres, hand dryers and hot water machines, washing machines, chemicals for textiles, and compressors) and hotel business.
  • Conducting a legal due diligence and providing legal advice relating to property acquisitions (freehold and leasehold).
  • Conducting legal due diligence and advising on the acquisition of the nutrition department of one of the largest pharmaceutical companies in Thailand.
  • Conducting legal due diligence and advising on the acquisition of one of the Thai software developer company.
  • Conducting legal due diligence and assisting an Italian company in acquiring assets of Thai pharmaceutical company.
  • Representing the Thai subsidiary of a leading Chinese computer company to apply for the relevant licences as required for its new business activities and acting as its corporate secretary.
  • Representing a German chemical company to acquire the shares in a Thai chemical manufacturing company.
  • Representing a US company to acquire the shares in a Thai plastic container manufacturing company.
  • Advising on family law and succession matters.
  • Advising on the application of work permits and long-term visas for foreigners and their families.
  • Advising in relation to the establishment of a foreign brewery.
  • Representing a Chinese furniture manufacturing company to establish a new factory in Chonburi province and providing legal advice on any issues related to Thai laws, including acting as its corporate secretary in Thailand.
  • Representing a Chinese manufacturer of air conditioners and other home appliances to establish its entity in Thailand, apply for any relevant licences, including BOI certificate and the Foreign Business Certificate, acquire land in an Industrial Estate Zone, and review and revise the relevant contracts to be executed with the contractor and suppliers.
  • Advising a UK listed company in establishing its entity in Thailand to operate a recruitment business and providing a corporate structure for its entity in Thailand.
  • Representing a Malaysian listed company in acquiring shares in a Thai telecommunications company and assisting to change its corporate structure to protect the client as a minority shareholder.
  • Representing the Thai subsidiary of a leading Chinese computer company to apply for the relevant licences as required for its new business activities and acting as its corporate secretary.
  • Representing a Thai private company which owns a brand new 6-star hotel in Phuket to sell its entire shares to an international fund in Germany.
  • Assisting a Singaporean company to establish its entity to operate a port and cargo businesses in Thailand.
  • Assisting a Singaporean port and logistic company in restructuring its holding entities in Thailand as to sell its minority shares in a Thai port company in the value of THB 660 million approximately.
  • Representing an investor in acquiring 49% of a company operating a digital TV channel, from its Thai listed owner.
  • Representing an international beverages company in its acquisition of a regional coffee conglomerate.
  • Representing an investor in acquiring a solar power company.
  • Representing a listed New Zealand company in relation to an entire business transfer to acquire a consultancy service company.
  • Representing a Singaporean company to restructure its Thai entity before submitting IPO in Singapore.
  • Representing a Singaporean company to restructure its Thai entity before submitting IPO in Hong Kong.
  • Representing various Myanmar investors to establish international trading companies in Thailand.
  • Being expert speaker for both local and international seminars related to foreign direct investment, labour, and legal compliance under Thai law.
  • Assisting Singapore listed companies to be listed in Hong Kong Stock Exchange concerning its subsidiary in Thailand.
  • Assisting Korean listed company to acquire chemical manufacturing business and plant in Thailand.
  • Representing an Italian listed company in acquiring shares and businesses of food and beverage companies in Thailand and other countries in the South East Asia.
  • Advising on laws and regulations related to the operation of hotel business, condominium, and service apartment.
  • Representation of a Thai listed company, and its subsidiary, in its acquisition of a well-known Thai chain of cafes and fashion stores.
  • Representing a Singapore investor to enter into the Joint Venture Agreement with a Thai partner to operate solar roof top business in Thailand.
  • Representing a Thai listed company to invest in Myanmar for operating a chain shabu restaurant in Myanmar.
  • Assisting a Thai bakery / food company with its parents in Singapore in a joint venture arrangement with a listed company in Thailand.
